1. Acceptance of Terms
1.1 These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MetaTicket LLC, a Georgia limited liability company with its principal place of business in Atlanta, Georgia ("MetaTicket," "we," "us," or "our").
1.2 By accessing or using the MetaTicket platform, website (metaticket.org), mobile application, or any related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our NFT Purchase Agreement.
1.3 If you do not agree to these Terms, you must immediately cease all use of the Platform.
1.4 We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least thirty (30) days before taking effect. Continued use of the Platform after the effective date of modifications constitutes acceptance of the updated Terms.
2. Eligibility
2.1 You must be at least eighteen (18) years of age (or the age of majority in your jurisdiction, whichever is greater) to create an account, purchase NFT Tickets, or use the Platform.
2.2 By using the Platform, you represent and warrant that:
- You meet the minimum age requirements;
- You have the legal capacity to enter into a binding agreement;
- You are not prohibited from using the Platform by any applicable law or regulation;
- Your use of the Platform complies with all applicable laws in your jurisdiction;
- If you are using the Platform on behalf of an organization, you have the authority to bind that organization to these Terms.
2.3 We reserve the right to verify your identity and eligibility and to refuse service at our discretion.
3. Account Registration and Security
3.1 Account Creation. To purchase NFT Tickets or access certain Platform features, you must create an account by providing accurate and complete registration information.
3.2 Digital Wallet. Certain Platform functions require you to connect a compatible digital cryptocurrency wallet. You are solely responsible for the security of your Wallet, including your private keys and seed phrases.
3.3 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.4 Account Termination. We may suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the Platform or other Users.
4. Platform Services
4.1 Description. MetaTicket provides a blockchain-based event ticketing platform that enables:
- Event Discovery — browsing and searching for events listed by verified event organizers and venues;
- NFT Ticket Purchase — purchasing event admission tickets issued as Non-Fungible Tokens;
- Secondary Market — reselling or transferring NFT Tickets to other Users;
- Smart Contract Royalties — automatic distribution of royalties on Secondary Sales;
- Admission Validation — verifying NFT Ticket ownership for event entry.
4.2 Platform Role. MetaTicket acts as a technology platform and marketplace facilitator. MetaTicket is not the event organizer, promoter, or venue operator for events listed on the Platform, except where expressly stated.
4.3 Availability. We strive to maintain continuous Platform availability but do not guarantee uninterrupted service.
5. NFT Ticket Purchases
5.1 Nature of NFT Tickets. When you purchase an NFT Ticket, you receive a revocable license granting admission, a digital collectible token, and no ownership interest in MetaTicket or the event organizer.
5.2 Purchase Process. All purchases are subject to availability, payment of applicable fees, and successful completion of the blockchain transaction.
5.3 Pricing Transparency. MetaTicket will disclose the base ticket price, Service Fee, estimated Processing Fee, estimated Gas Fee, and applicable taxes.
5.4 Finality of Purchase. Completed NFT Ticket purchases are final. Refunds are subject to the event organizer's cancellation and refund policy.
5.5 Securities Disclaimer. NFT Tickets are not securities, investment contracts, financial instruments, or currency.
6. Secondary Market and Resale
6.1 Subject to event-specific restrictions, you may resell or transfer your NFT Ticket through the Platform's secondary marketplace.
6.2 Restrictions may include price caps, transfer locks, verified account restrictions, and transfer prohibitions encoded in the Smart Contract.
6.3 Royalties may be automatically deducted on Secondary Sales.
6.4 Georgia Ticket Resale Compliance. Users must comply with the Georgia Ticket Broker Act (O.C.G.A. § 43-4B-25 et seq.).
7. Cancellations and Refunds
7.1 If an event is canceled and not rescheduled, the event organizer is primarily responsible for refunds. In accordance with Georgia law (O.C.G.A. § 43-4B-28), you are entitled to a full refund.
7.2 If an event is postponed, NFT Tickets will generally remain valid for the rescheduled date.
7.3 MetaTicket does not provide refunds for dissatisfaction with event quality.
7.4 Fraudulent chargebacks may result in permanent account termination and legal action.
8. User Conduct
You agree not to:
- Use the Platform for any unlawful purpose;
- Engage in ticket scalping that violates applicable laws;
- Use automated bots or scripts to purchase NFT Tickets in bulk;
- Attempt to circumvent Smart Contract restrictions;
- Create false or misleading event listings;
- Impersonate another person or entity;
- Interfere with or disrupt the Platform;
- Attempt to reverse-engineer the Platform or Smart Contracts;
- Use the Platform for money laundering or financial crimes;
- Harvest personal information of other Users without consent.
9. Intellectual Property
9.1 The Platform and its content are the property of MetaTicket and protected by intellectual property laws.
9.2 We grant you a limited, non-exclusive, revocable license to access and use the Platform.
9.3 NFT Ticket purchases include a limited license to display the artwork for personal, non-commercial purposes only.
10. Disclaimers
THE PLATFORM AND ALL NFT TICKETS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. METATICKET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. METATICKET MAKES NO REPRESENTATIONS REGARDING THE VALUE, LIQUIDITY, OR TRANSFERABILITY OF NFT TICKETS. METATICKET IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, OR LEGALITY OF EVENTS LISTED ON THE PLATFORM.
11. Limitation of Liability
METATICKET'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF THE TOTAL AMOUNT PAID IN THE PRECEDING TWELVE MONTHS OR ONE HUNDRED DOLLARS ($100). IN NO EVENT SHALL METATICKET BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Nothing in these Terms limits liability that cannot be limited under the Georgia Fair Business Practices Act.
12. Indemnification
You agree to indemnify and hold harmless MetaTicket from claims arising from your breach of these Terms, violation of laws, or use of the Platform.
13. Dispute Resolution
13.1 Informal Resolution. Contact [email protected] and attempt informal resolution for at least thirty (30) days.
13.2 Binding Arbitration. Unresolved disputes shall be resolved by AAA binding arbitration in Atlanta, Georgia.
13.3 CLASS ACTION WAIVER. YOU AND METATICKET AGREE TO BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY.
14. Governing Law
These Terms are governed by the laws of the State of Georgia. Exclusive jurisdiction and venue: state and federal courts in Fulton County, Georgia.
15. Regulatory Compliance
MetaTicket may implement KYC/AML procedures. You are solely responsible for your tax obligations arising from NFT Ticket transactions.
16. Miscellaneous
These Terms, our Privacy Policy, and NFT Purchase Agreement constitute the entire agreement. By using the Platform, you consent to electronic communications from MetaTicket consistent with Georgia and federal law.
